# Terms of Service — NexLvel Influencer Agency

## 1. Acceptance of Terms

By accessing or using the NexLvel Influencer Agency platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

## 2. Platform Description

NexLvel Influencer Agency is an AI-powered influencer marketing platform that connects influencers, brands, and agencies. The Platform provides tools for campaign management, content creation, geo-targeted bookings, and white-label agency services.

## 3. User Accounts & Eligibility

- You must be at least 18 years of age to create an account.
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You may not share your account with any third party.
- NexLvel reserves the right to suspend or terminate accounts that violate these Terms.

## 4. Platform Fees & Revenue Share

- **Influencers:** NexLvel retains a 20% commission on all brand deals facilitated through the Platform. This commission is automatically deducted from campaign payments before disbursement.
- **Agencies:** Monthly subscription fees apply based on selected plan tier. Agency plans include: Starter ($97/mo), Agency ($297/mo), White-Label Pro ($597/mo), Enterprise (custom pricing).
- **Brands:** Campaign budgets are held in escrow and released to influencers upon deliverable approval.
- All fees are non-refundable unless otherwise stated in writing.

## 5. Content Standards & FTC Compliance

- All sponsored content must be clearly disclosed in accordance with FTC guidelines using #ad, #sponsored, or equivalent disclosures.
- Influencers are solely responsible for ensuring their content complies with applicable laws, platform policies, and FTC disclosure requirements.
- NexLvel is not liable for any FTC violations by platform users.
- Prohibited content includes: deceptive claims, adult content, illegal products/services, hate speech, and content targeting minors.

## 6. Intellectual Property

- Influencers retain ownership of their original content.
- By posting content through the Platform, influencers grant NexLvel a non-exclusive, royalty-free license to display, promote, and market the content for Platform purposes.
- Brands receive a limited license to use approved influencer content for the duration specified in the campaign agreement.
- AI-generated content (scripts, clones, ad copy) created through Platform tools is subject to the terms of the applicable AI service provider.

## 7. AI Tools & Generated Content

- The Platform's AI tools (Script Writer, Clone Creator, Content Generator) are provided "as is."
- AI-generated content may require review and editing before use.
- Users are responsible for reviewing AI-generated content for accuracy, legality, and compliance.
- NexLvel does not guarantee the accuracy or fitness of AI-generated content for any particular purpose.

## 8. Geo-Fencing & Location Data

- By enabling geo-fencing features, you consent to the collection and use of your location data.
- Location data is used solely for matching influencers with local brand opportunities.
- Location data is not sold to third parties.
- You may disable location services at any time in your account settings.

## 9. Prohibited Activities

Users may not:
- Circumvent Platform payment systems or conduct off-platform transactions with connections made through the Platform
- Share personal contact information (phone numbers, email addresses, physical addresses) through the Platform messaging system
- Misrepresent follower counts, engagement rates, or demographic data
- Create fake accounts or use bots to inflate metrics
- Use the Platform for any illegal purpose

## 10. Dispute Resolution

- Disputes between brands and influencers regarding campaign deliverables will be mediated by NexLvel.
- NexLvel's decision in content approval disputes is final.
- Legal disputes shall be governed by the laws of the State of Georgia, USA.
- Users agree to binding arbitration for disputes exceeding $500.

## 11. Limitation of Liability

NexLvel's liability to any user is limited to the total fees paid by that user in the 12 months preceding the claim. NexLvel is not liable for indirect, incidental, or consequential damages.

## 12. Modifications

NexLvel reserves the right to modify these Terms at any time. Users will be notified of material changes via email and in-platform notification. Continued use of the Platform after notification constitutes acceptance of the modified Terms.
